The independent director candidate, Mr.Fu-Hsing Chang, has served as
an independent director of the Company for three consecutive terms.
In accordance with Article 5 of the“Regulations Governing Appointment
of Independent Directors and Compliance Matters for Public Companies”,
the reasons for continuing to nominate him as an independent director
should be announced.
6.Countermeasures:
The independent director candidate, Mr.Fu-Hsing Chang, has served as
an independent director of the Company for three consecutive terms.
Because of his possession of professional ability in finance and
accounting, and his certified public accountant license, he can
offer important advice to the Company. Although he has served as an
independent director for three consecutive terms, the Company still
needs his expertise so that he can still use his expertise and provide
professional advice on the supervision of the board of directors when
performing independent director duties. Therefore,this election of the
Company will continue to nominate Mr.Fu-Hsing Chang as an independent
director of the Company.
